1. Introduction

1.1. Welcome to Perks & Gifts, a global e-commerce ecosystem enabling customers and sellers to buy and sell using available cryptocurrencies.

1.2. These Terms and Conditions govern your access to and use of the Perks & Gifts website, and related services.

1.3. By registering, accessing, or using the platform, you agree to comply with these Terms. If you do not agree, please discontinue use immediately.

1.4. Definitions

1.4.1. “Platform” means the Perks & Gifts website, and related services.  

1.4.2. “Seller” means any registered user who lists and sells products on the platform.  

1.4.3. “Customer” means any registered user who purchases products or services on the platform.  

1.4.4. “Transaction” means the purchase or sale of a product or service through the platform.  

1.4.5. “Commission” means the percentage or amount earned or retained by the platform from transactions. A portion of this commission may be shared with eligible members in accordance with the platform’s commission policy.

2. Account Registration and Use

2.1. Users must be at least 18 years old to register an account.

2.2. You are responsible for providing accurate information during registration and maintaining the confidentiality of your login credentials.

2.3. Accounts are non-transferable and may not be shared without written consent from the company.

2.4. Any misuse, fraudulent activity, or violation of these Terms may result in account suspension or termination.

3. Sellers and Customer Responsibilities

3.1. Sellers must comply with all applicable regulations and platform policies related to product quality, labeling, safety, intellectual property, and consumer protection.

3.2. Sellers are solely responsible for reporting, collecting, and remitting any applicable taxes, customs duties, or regulatory fees related to their sales. The platform shall not be liable for any seller tax obligations or compliance matters.

3.3. Customers must ensure that their payment information is accurate, complete, and valid at the time of purchase. Any failed or incorrect payment may result in delayed or canceled transactions.

3.4. Perks & Gifts reserves the right, at its sole discretion, to remove product listings or suspend vendor accounts that violate platform policies, regulations, or these Terms and Conditions.

4. Payments and Transactions

4.1. The platform supports payments in available cryptocurrencies.

4.2. Transactions are processed through secure payment gateways and blockchain-based systems where applicable.

4.3. Once a transaction is confirmed, it cannot be reversed or refunded except where permitted by the platform’s own policies.

4.4. All product prices, commissions, and exchange rates are subject to change without prior notice.

4.5. Shipping and Delivery

4.5.1. Sellers are responsible for shipping products to customers in a timely manner, using appropriate shipping methods.  

4.5.2. The platform is not liable for delays, lost shipments, or damage caused during shipping.  

4.5.3. Customers must provide accurate delivery information. Any errors may result in delayed or failed delivery.

4.6. Returns, Refunds, and Cancellations

4.6.1. All transactions are considered final and non-refundable. Any exceptions will be determined at the platform’s sole discretion.  

4.6.2. Sellers may define their own return or cancellation policies, which must be clearly communicated in their product listings. 

4.6.3. The platform reserves the right to remove listings or intervene in cases of fraud, misrepresentation, or policy violations.

4.7. Third-Party Services

4.7.1. The platform may provide links or integrations with third-party services for payments, delivery, or other functions.  

4.7.2. The platform is not responsible for the availability, accuracy, or performance of third-party services. 

4.7.3. Users engage with third-party services at their own risk and must comply with the third party’s terms and conditions.

4.8. Crypto Payment Refund Disclaimer

4.8.1. Due to the nature of cryptocurrencies and blockchain transactions, payments made using crypto are generally irreversible.

4.8.2. Refunds or adjustments for crypto transactions will only be considered in exceptional cases at the platform’s discretion.

4.8.3. Users should ensure all transaction details are accurate before confirming crypto payments.

5. Commission and Earnings Policy

5.1. Commission structures apply to members as per platform policy.

5.2. The company reserves the right to modify, adjust, or update commission rates, payout schedules, or related policies at its sole discretion. Such changes will take effect upon publication on the platform and apply to all subsequent transactions.

5.3. Earnings will be credited to members only after successful completion of valid transactions, as verified and confirmed by the platform.

5.3.1. All seller earnings are subject to a seven (7) day holding period after order completion. This period allows for payment clearance, fraud checks, and protection against possible disputes, chargebacks, or refunds. After this period, eligible funds will automatically become available for withdrawal.

5.4. Any disputes regarding commissions or earnings must be submitted in writing to the platform’s support team and will be addressed in accordance with the dispute resolution process outlined in these Terms.

5.5. Eligibility for commission sharing is determined based on valid account status, completed transactions, and compliance with platform rules. The platform reserves the right to withhold commissions from members or sellers who violate these Terms.

6. Intellectual Property

6.1. All content, trademarks, and materials on the platform are owned by or licensed to Perks & Gifts.

6.2. Users and sellers may not copy, reproduce, distribute, or modify platform content without prior written consent.

6.3. User-Generated Content

6.3.1. Customers may submit reviews, ratings, photos, or comments regarding products and services.  

6.3.2. Users must ensure that submitted content is accurate, appropriate, and does not infringe on intellectual property rights.  

6.3.3. The platform reserves the right to remove or moderate any content that violates these Terms or platform policies.

7. Prohibited Conduct

7.1. Users may not engage in fraudulent, misleading, or unauthorized activities on the platform.

7.2. Uploading harmful software, false advertising, or infringing content is strictly prohibited.

7.3. Violation of this section may result in account termination and further action as determined by the platform.

8. Dispute Resolution

8.1. In the event of any dispute, claim, or disagreement arising from the use of the platform or these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiation and mediation.

8.2. If mediation fails within a reasonable period, the dispute shall be referred to binding arbitration conducted under internationally recognized arbitration rules in the English language.

8.3.  The decision or award rendered by the arbitrator shall be final, conclusive, and binding on all parties.

8.4.  Each party shall bear its own administrative and arbitration-related costs unless otherwise determined by the arbitrator.

9. Limitation of Liability

9.1. The platform provides its services “as is” without warranties or guarantees.

9.2. Perks & Gifts shall not be liable for any indirect, incidental, or consequential damages arising from the use of its services.

9.3. The platform shall not be liable for any losses, delays, or errors arising from cryptocurrency volatility, exchange rate fluctuations, or failures of payment gateways or third-party services.

10. Governing Framework

10.1. These Terms and Conditions shall be interpreted and applied in accordance with internationally accepted commercial principles.

10.2. Users agree to follow all applicable regulations related to their participation and activities on the platform.

10.3. Any disputes will be handled through neutral, internationally recognized procedures to ensure fairness to all parties.

11. Changes to Terms

11.1. Perks & Gifts reserves the right to update or amend these Terms at any time.

11.2. Continued use of the platform after such changes constitutes acceptance of the updated Terms.
